1. Scope
1.1 These Private Link Specific Terms apply to Private Link, the private path that ON DIVERSITY CLOUD EUROPE, S.L. ("DIVERSITY") provides under an Order Form from the Customer's sites to the services the Customer runs with DIVERSITY.
1.2 These Specific Terms supplement the General Terms (/general-terms/) and the Acceptable Use Policy (/acceptable-use-policy/), whose Section 3.5 applies to the BGP sessions used by Private Link. They do not repeat what those documents settle. In particular, fees, invoicing and late payment (General Terms, Section 7), suspension (Section 8), personal data (Section 9 and the DPA), confidentiality (Section 10), liability (Section 14), notices (Section 18), and governing law and courts (Section 23) apply as written there.
1.3 Where these Specific Terms depart from the General Terms, they say so and prevail, as Section 3.2 of the General Terms provides. Capitalised terms not defined here have the meaning given in the General Terms.
2. Definitions
- "Customer Site": a fixed location of the Customer, such as an office, a branch, a plant or the Customer's own data centre.
- "Link": one Private Link connection from one Customer Site.
- "Landing Site": the DIVERSITY site where a Link reaches DIVERSITY's network.
- "Router": the router that DIVERSITY configures and installs at a Customer Site.
3. Description of the service
3.1 Purpose. Private Link connects Customer Sites to the services the Customer runs with DIVERSITY. It connects sites only: it does not connect remote users, laptops or mobile devices. It is not general internet connectivity or IP transit.
3.2 Three ways in. Each Link uses one of the following, as stated in the Order Form:
(a) a Router, configured by DIVERSITY before it ships and installed at the Customer Site, over the connection the Customer already has;
(b) DIVERSITY's fibre and a Router, at a Customer Site in one of the four cities where DIVERSITY has a data centre, with the last mile laid by a European partner; or
(c) a tunnel over the Customer's own connection, using WireGuard, IPsec, or GRE inside IPsec.
3.3 Reach. A Link reaches only the services and destinations agreed with the Customer, behind DIVERSITY's firewall.
3.4 Routing.
(a) DIVERSITY's services keep their own public addresses. The Customer announces its private address ranges to DIVERSITY over BGP from its own autonomous system number, public or private.
(b) Private Link carries IPv4 only.
(c) Each Customer Site has one Link, unless a redundant setup is agreed (Section 5.4). The Link lands at the DIVERSITY site nearest to the Customer Site, chosen by DIVERSITY. From the Landing Site, DIVERSITY's own Layer 2 network carries the traffic to its other sites.
(d) Other routing parameters are agreed for each design.
3.5 Capacity. A Link has the capacity stated in the Order Form, from 50 Mbps to 10 Gbps. Capacity is provided on a best-effort basis and is not a guaranteed rate.
3.6 Encryption. Every way in is encrypted, and so is traffic between DIVERSITY's sites. Encryption inside a data centre, between the Landing Site and the Customer's services, is the Customer's own setup.
3.7 Monitoring. DIVERSITY monitors both ends of a Link that uses a Router, and its own end of a tunnel.
4. Ordering and lead times
4.1 The Order Form states, for each Link, the Customer Site, the way in, the capacity and the services and destinations it reaches.
4.2 DIVERSITY aims to deliver a Link within the following times from its acceptance of the order and the Customer's provision of the information and site access needed:
| Way in | Lead time |
|---|---|
| Tunnel over the Customer's own connection | 24 to 48 hours |
| Router over the Customer's existing connection | Up to 14 days |
| DIVERSITY's fibre and Router | 14 to 35 days |
These are targets, not guaranteed times. The fibre option takes longest because fibre has to be laid.
5. Service levels and support
5.1 Private Link is covered by the 99.9% availability commitment (General Terms, Section 5.2).
5.2 The commitment covers the whole Link only where it runs over DIVERSITY's fibre (Section 3.2(b)). Where a Link runs over the Customer's own connection, with a Router (Section 3.2(a)) or a tunnel (Section 3.2(c)), that connection is outside the commitment, which then covers DIVERSITY's network and, where there is one, the Router.
5.3 The time needed to replace a failed Router counts within the commitment only in Madrid, Amsterdam, Munich and Helsinki. Elsewhere, DIVERSITY replaces a failed Router as soon as reasonably possible.
5.4 A Link is a single connection. A redundant setup can be designed on request, without any failover commitment.
5.5 Support is provided under the Support Specific Terms (/contracts/support/).
6. The Customer's obligations
6.1 The Customer must give DIVERSITY access to the Customer Site, and the space, power and existing connection a Router needs.
6.2 A Router remains DIVERSITY's property. The Customer must take reasonable care of it and must not alter its configuration.
6.3 The Customer may announce over BGP only the address ranges and autonomous system numbers that it is entitled to use (Acceptable Use Policy, Section 3.5).
7. Data
Private Link stores no Customer Data and has nothing to export (Data Act page, /data-act/, Section 6.2). Section 17 of the General Terms applies to it without any data export.
8. Term, renewal and termination
8.1 Each Link has a minimum term of six months from the date it is delivered.
8.2 At the end of the minimum term, and of each later period, each Link renews automatically for a further six months, without any action by either party. Either party may stop the renewal by written notice at least 30 days before the end of the current period (General Terms, Section 16.1).
9. Billing specifics
Each Link is billed as the Order Form sets out. Prices appear only in the Order Form.
10. End of service
When a Link ends, DIVERSITY collects the Router, removes its fibre where there is any, or switches off the tunnel. The Customer must give DIVERSITY access to the Customer Site for this purpose. There is nothing to export.
11. Exclusions
Private Link does not include:
(a) connections for remote users, laptops or mobile devices;
(b) general internet connectivity or IP transit;
(c) a guaranteed rate;
(d) IPv6;
(e) a choice of Landing Site by the Customer;
(f) a failover commitment, even in a redundant setup.
