1. Scope

1.1 These Bare Metal Specific Terms apply to the dedicated servers that ON DIVERSITY CLOUD EUROPE, S.L. ("DIVERSITY") provides under an Order Form, including the Bare Metal GPU tier and the managed option.

1.2 These Specific Terms supplement the General Terms (/general-terms/) and the Acceptable Use Policy (/acceptable-use-policy/). They do not repeat what those documents settle. In particular, fees, invoicing and late payment (General Terms, Section 7), suspension (Section 8), personal data (Section 9 and the DPA), confidentiality (Section 10), liability (Section 14), notices (Section 18), and governing law and courts (Section 23) apply as written there.

1.3 Where these Specific Terms depart from the General Terms, they say so and prevail, as Section 3.2 of the General Terms provides. Capitalised terms not defined here have the meaning given in the General Terms.

2. Definitions

  • "Server": a single-tenant physical server provided to the Customer under these Specific Terms.
  • "Custom Build": a Server built to a configuration agreed with the Customer, from stock or from parts ordered for it.
  • "Managed Option": the management service described in Section 3.5.
  • "Business Hours": as defined in the Support Specific Terms (/contracts/support/).

3. Description of the service

3.1 Single tenancy. Each Server is dedicated to one Customer. No other customer runs on it.

3.2 Tiers. Servers are offered in the tiers Entry, Standard, Performance+, High end and Bare Metal GPU (with Nvidia RTX PRO 6000 Blackwell Server Edition cards). The Order Form names the exact configuration of each Server.

3.3 Platform. Servers use software RAID. Hardware RAID is available only as part of a Custom Build. Every Server has remote IPMI/KVM access. Custom Builds are available from stock or to order.

3.4 Operating model. DIVERSITY installs the Server in the rack, or powers it on from stock, and hands over access to the Customer. The operating system, the RAID configuration and everything above them are the Customer's.

3.5 Managed Option. On every tier, the Customer may order the Managed Option, under which DIVERSITY patches the operating system, monitors the Server and makes backups, together with any other tasks set out in the managed request form agreed at purchase. The Order Form records what the Managed Option covers for each Server.

3.6 Traffic. Each tier includes the following traffic:

On the Entry, Standard and Performance+ tiers, unlimited traffic is available for an additional fee and includes a 10G port. Traffic above the allowance is billed per additional block of traffic, as the Order Form sets out. Instead, the Customer may choose in the Order Form to have the traffic blocked when the allowance is reached.

3.7 IP addresses. Each Server has IPv4 and IPv6. By default, a Server receives a single IPv6 address (a /128). The Customer may rent an IPv6 /56 and additional IPv4 blocks from /29 to /24.

4. Ordering and lead times

4.1 The Order Form states the tier, configuration, site and options of each Server.

4.2 DIVERSITY aims to hand over access to a Server within the following times from its acceptance of the order:

These are targets, not guaranteed times.

5. Service levels and support

5.1 Hardware replacement. DIVERSITY replaces, free of charge, any component of a Server that is defective, on every plan. No parts are billed.

(a) A replacement always starts with a support ticket from the Customer reporting the fault.

(b) DIVERSITY aims to have the Server back in service within four working hours of the ticket. This is a resolution target, not a guarantee.

(c) The time runs during Business Hours and pauses outside them. On Advanced Support, it keeps running outside Business Hours.

(d) Hardware replacement is a fault repair, not a support entitlement, and is handled separately from support requests.

(e) On a Server without the Managed Option, restoring the operating system, the RAID and the Customer's data after a replacement is the Customer's task.

5.2 The SLA. The SLA covers DIVERSITY's network and the power to the Server (SLA, Section 3). A hardware failure of a Server is not an SLA event and gives no right to service credits. The commitment for it is the repair target in Section 5.1. Cover at weekends and outside Business Hours comes with Advanced Support, not with the SLA.

5.3 Support is provided under the Support Specific Terms (/contracts/support/).

6. The Customer's obligations

6.1 On a Server without the Managed Option, the Customer is responsible for the operating system, the RAID configuration, the security and updating of everything it runs (Acceptable Use Policy, Section 9) and its own backups (Section 7.2).

6.2 The Customer must keep its IPMI/KVM credentials secure and must report hardware faults by support ticket.

6.3 The Customer must give DIVERSITY the access and the downtime needed to replace a defective component.

7. Data, backups and location

7.1 Location. Each Server is in the site selected in the Order Form: Madrid (MAD1), Amsterdam (AMS1), Munich (MUN1) or Helsinki (HEL1) (General Terms, Section 9.4).

7.2 Backups. Bare Metal has no backup product. Backups are made by DIVERSITY only where the Managed Option includes them. Otherwise Section 13 of the General Terms applies and backups are the Customer's responsibility.

7.3 Encryption. The Customer controls the Server and decides whether and how its disks are encrypted. The protection of the Customer's own traffic depends on the protocols the Customer uses. Data that DIVERSITY itself stores or transmits to provide the service, such as backups under the Managed Option, is encrypted in transit and at rest (Data Act page, /data-act/, Section 5.3).

7.4 No failover. A Server is a single machine. Nothing fails over to another Server or is replicated to another site unless the Customer designs and buys it.

8. Term, renewal and termination

8.1 Each Server has a minimum term of six months from the date access is handed over.

8.2 At the end of the minimum term, and of each later period, the service of each Server renews automatically for a further six months, without any action by either party. Either party may stop the renewal by written notice at least 30 days before the end of the current period (General Terms, Section 16.1).

9. Billing specifics

Unlimited traffic on a metered tier, rented IP addresses, the Managed Option and Custom Builds are billed as the Order Form sets out. Prices appear only in the Order Form. Replacement parts are never billed (Section 5.1).

10. End of service

10.1 Deletion. When a Server's service ends, and after any retrieval period under Section 17.4 of the General Terms, all Customer Data on it is deleted and its disks are securely erased to NIST SP 800-88 before the Server is used again.

10.2 Export. The Customer can copy its data at any time with its own tools. On request, DIVERSITY exports a full disk image under Section 17 of the General Terms. The Server must be shut down for the duration of that export (Data Act page, /data-act/, Section 6.4).

11. Exclusions

Unless the Order Form provides otherwise, Bare Metal does not include:

(a) management of the operating system, the RAID or software, except under the Managed Option;

(b) backups, except under the Managed Option;

(c) hardware RAID, except in a Custom Build;

(d) failover or replication to another Server or site;

(e) service credits for a hardware failure.
